Terms & Conditions
These Terms and Conditions (“Terms”) govern your access to and use of the services provided by NextPhase HR Consulting, LLC (“NextPhase HR,” “we,” “us,” or “our”). By engaging our services, accessing our website, or participating in consultations, you agree to be bound by these Terms.
1. Services Provided
NextPhase HR Consulting, LLC provides human resources consulting services, including but not limited to:
• HR compliance guidance
• Workplace investigations and advisory support
• Training and professional development
• Policy development and strategic HR consulting
Services are advisory in nature and do not constitute legal, medical, or financial advice.
2. Client Responsibilities
Clients agree to:
• Provide accurate, complete, and timely information
• Designate authorized representatives for communication
• Maintain confidentiality of materials provided
• Use consulting deliverables solely for internal business purposes
NextPhase HR is not responsible for outcomes resulting from incomplete or inaccurate client information.
3. No Legal Representation
NextPhase HR Consulting, LLC is not a law firm and does not provide legal representation. Clients are encouraged to seek legal counsel for legal interpretations, litigation matters, or compliance determinations.
4. HIPAA and Confidential Information
When services involve health-related or sensitive employee information, NextPhase HR:
• Maintains confidentiality in accordance with HIPAA standards, where applicable
• Uses Protected Health Information (PHI) only as necessary to perform contracted services
• Implements reasonable safeguards to protect sensitive data
A Business Associate Agreement (BAA) may be required for certain engagements.
5. Payment Terms
• Fees are due as agreed upon in service proposals, invoices, or consultation bookings
• Late payments may be subject to service suspension or late fees
• All fees are non-refundable unless otherwise stated in writing
6. Cancellations and Rescheduling
• Consultation cancellations or rescheduling require [insert notice period, e.g., 24 or 48 hours]
• Missed appointments or late cancellations may be charged in full
7. Intellectual Property
All materials, templates, training content, and deliverables provided by NextPhase HR remain the intellectual property of NextPhase HR Consulting, LLC unless otherwise agreed in writing. Clients receive a limited, non-transferable license for internal use only.
8. Limitation of Liability
To the fullest extent permitted by law, NextPhase HR Consulting, LLC shall not be liable for:
• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Decisions made by clients based on consulting recommendations
Total liability shall not exceed the fees paid for the applicable service.
9. Indemnification
Clients agree to indemnify and hold harmless NextPhase HR Consulting, LLC from any claims, damages, or expenses arising from:
• Client misuse of consulting materials
• Client failure to comply with applicable laws
• Inaccurate or incomplete information provided by the client
10. Confidentiality
Both parties agree to maintain confidentiality of non-public, proprietary, or sensitive information exchanged during the engagement, except as required by law.
11. Termination of Services
Either party may terminate services with written notice. Upon termination:
• Outstanding fees remain due
• Confidentiality obligations survive termination
• Access to materials may be revoked
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the state in which NextPhase HR Consulting, LLC is registered, without regard to conflict-of-law principles.
13. Changes to Terms
NextPhase HR reserves the right to update these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
